Chicago Headline Club Honors City's Best Journalism in Peter Lisagor Awards

CHICAGO, April 29 /PRNewswire/ -- The Chicago Headline Club chapter of the Society of Professional Journalists has named winners of the annual Peter Lisagor Awards for Exemplary Journalism.

The Chicago Tribune received 18 honors, including awards to its Sunday magazine, Web site and video production unit. The Tribune was given a public service award for its October 2004 series on crime scene investigation. WBEZ- FM was presented six awards; the Chicago Sun-Times and Daily Herald four each. Also receiving multiple honors were Crain's Chicago Business, Chicago magazine, Modern Healthcare magazine, WBBM-AM and WGN-TV.

These are the Chicago Headline Club's 28th annual awards to Chicago area journalists. The competition's categories range from in-depth reporting and public service to business, commentary and feature reporting.

Time magazine White House correspondent Matthew Cooper, who faces jail time for refusing to divulge his sources, was the featured speaker in the April 29 awards banquet at the Westin Chicago River North hotel.

The awards are named for Peter Lisagor, late Washington bureau chief of the Chicago Daily News. Reporters and editors from SPJ chapters in five cities reviewed nearly 900 entries published or broadcast in 2004. Plaques were presented for 61 reports, chosen for such attributes as enterprise, accuracy, scope, style and impact.

TV Azteca Shareholders Approve US$80 Million in Cash Distributions

MEXICO CITY, April 29 /PRNewswire-FirstCall/ -- TV Azteca, S.A. de C.V. (NYSE:TZA) (BMV: TVAZTCA), one of the two largest producers of Spanish- language television programming in the world, announced that its Annual Meeting of Shareholders held today at its corporate offices in Mexico City approved distributions to shareholders for an aggregate amount of US$80 million to be paid during 2005. Of the total sum, US$78 million is planned to come from capital reductions and Ps.24 million (approximately US$2 million) from the company's preferred annual dividends.

A payment of US$59 million is scheduled to be made on June 9 and another of approximately US$21 million on December 1.

The distributions are part of TV Azteca's six-year plan for uses of cash, which entails making disbursements to shareholders above US$500 million and reducing the company's debt by approximately US$250 million within a six-year period that started in 2003.

The cash distributions made to date, when added to the upcoming disbursement of US$80 million, represent an aggregate amount of US$405 million, equivalent to a 27% yield on the April 28, 2005, ADR closing price. Prior distributions include: US$125 million on June 30, 2003, US$15 million on December 5, 2003, US$33 million on May 13, 2004, US$22 million on November 11, 2004, and US$130 million on December 14, 2004.

(the "Company" or "SBS") (NASDAQ:SBSA) announced today that it intends to enter into new senior secured credit facilities with affiliates of Lehman Brothers Inc., Merrill Lynch and Wachovia Securities. Lehman Brothers Inc. will act as sole lead arranger. The proposed new senior credit facilities will consist of a first lien credit facility and a second lien credit facility. The proposed new credit facilities will provide for an aggregate of $400 million in funded term loans, plus a revolving loan facility.

Purchase Gives Viacom Television Stations Group Its Tenth Multi-Station Market

SACRAMENTO, Calif., April 29 /PRNewswire/ -- Viacom has closed on its purchase of CBS Sacramento affiliate KOVR-TV 13 from the Sinclair Broadcast Group, it was announced today by Fred Reynolds, President and Chief Executive Officer, Viacom Television Stations Group. The addition of KOVR to Viacom's existing Sacramento operation -- where it already owns and operates UPN station KMAX -- gives the group its tenth multi-station market. The other markets include Los Angeles, Philadelphia, Boston, San Francisco, Dallas, Detroit, Miami, Pittsburgh and West Palm Beach, Fla.

The station was purchased by Viacom for $285 million. The acquisition has received all necessary regulatory approvals.

Bruno Cohen, most recently Vice President and General Manager of KMAX, will now serve as President and General Manager of both stations.

(NASDAQ:SBGI) announced that the sale of its television station, KOVR-TV (CBS 13) in Sacramento, California (19th largest market), to Viacom, Inc. (NYSE:VIA) has closed and funded. The station was sold for a cash purchase price of $285.0 million. The after-tax net cash proceeds, estimated at approximately $254.0 million, will initially be used to repay bank debt.

Viacom Closes on Purchase of CBS Affiliate KOVR-TV 13 Sacramento

Purchase Gives Viacom Television Stations Group Its Tenth Multi-Station Market

NEW YORK, April 29 /PRNewswire/ -- Viacom has closed on its purchase of CBS Sacramento affiliate KOVR-TV 13 from the Sinclair Broadcast Group, it was announced today by Fred Reynolds, President and Chief Executive Officer, Viacom Television Stations Group. The addition of KOVR to Viacom's existing Sacramento operation -- where it already owns and operates UPN station KMAX - gives the group its tenth multi-station market. The other markets include Los Angeles, Philadelphia, Boston, San Francisco, Dallas, Detroit, Miami, Pittsburgh and West Palm Beach, Fla.

The station was purchased by Viacom for $285 million. The acquisition has received all necessary regulatory approvals.

Bruno Cohen, most recently Vice President and General Manager of KMAX, will now serve as President and General Manager of both stations.

NEW YORK, April 29 /PRNewswire-FirstCall/ -- Interep National Radio Sales, Inc. ("Interep") (BULLETIN BOARD: IREP) , the largest independent sales and marketing company specializing in radio and the Internet, today announced its first quarter 2005 financial results.

Commission revenue increased $0.6 million, or 3.3%, to $17.5 million for the quarter ended March 31, 2005, from $16.9 million for the same period last year. The majority of this increase can be attributed to the recent improvement in national spot advertising generally.

Ralph Guild, Interep's Chairman and CEO, said, "Interep's commission revenue improved in the first quarter due to what appears to be an overall strengthening in the national radio market. This strength is continuing into the second quarter with a broad range of categories showing growth, including continued improvement in the Automotive and Retail sectors."

He continued, "Prudent fiscal management, coupled with increased demand for radio advertising, should make for significantly improved operating results in 2005."

Net loss applicable to common shareholders for the first quarter 2005 decreased to $5.7 million from $9.2 million for the first quarter last year. Loss per share applicable to common shareholders for the first quarter 2005 decreased to $0.51 from $0.90 in the comparable quarter last year.

Selling, general and administrative ("SG&A") expenses decreased to $16.7 million for the first quarter 2005, from $18.1 million for the same period last year. Past severance programs that have produced significant reductions in compensation costs, the termination of certain special sales promotions and the non-recurrence of certain 2004 litigation expense, all contributed to this $1.4 million decrease.

Operating income before depreciation and amortization improved $1.9 million to $0.9 million for the first quarter 2005 as compared to a $1.0 million loss for the same period last year. The presentation of Interep's historical financial performance reflects the adoption by the SEC of Regulation G and related guidance affecting the use and disclosure of non-GAAP financial measures. As a consequence, Interep no longer refers to "Operating Income before Depreciation and Amortization" as "EBITDA." Operating income before depreciation and amortization is a non-GAAP financial measure that Interep believes is useful in evaluating its performance.

Viewers Will Find Channels Devoted to Their Interests

NEW YORK, April 29 /PRNewswire/ -- Verizon today took another step toward its goal of providing one of the country's most extensive TV programming lineups when it announced separate programming-distribution agreements with five networks.

Under the agreements, Verizon will carry the channels on Verizon FiOS TV when it launches later this year. They are: Varsity TV, Gospel Music Channel, Soundtrack Channel, MavTV and GolTV.

"We are pleased to add these networks to our growing lineup of quality programming," said Terry Denson, vice president of programming and marketing for FiOS TV. "FiOS TV will connect our future customers to popular channels plus many newer networks that speak to their specific entertainment interests."

The networks announced today will complement other major cable and network channels available to Verizon subscribers.

Verizon previously announced agreements with NBC Universal Cable, Starz Entertainment Group, Showtime Networks, A&E Television Networks and Discovery Networks, and is close to finalizing agreements with several other major content-partners.

Verizon FiOS TV will offer customers a competitive alternative to cable or satellite. In addition to the channels announced today, FiOS TV will also deliver hundreds of other digital video channels, high-definition programming, video-on-demand content, music channels, an interactive programming guide and other customer-friendly features via the company's fiber-to-the-premises (FTTP) broadband network. Verizon is already constructing FTTP networks in half the states where it offers landline communications service.

Terms of the agreements with the channels announced today were not disclosed. Following are the details of the programming on each channel:

Varsity TV

As the only 24-hour network dedicated exclusively to teenagers, Varsity TV delivers programming produced by, for and about teens. Varsity TV complements the other offerings of the Varsity Media group, which delivers content at VarsityTV.com, Varsity On Demand and Varsity Mobile. NEW YORK, April 29 /PRNewswire/ -- Sundance Channel has acquired U.S. pay television rights to three seasons of the Australian hit comedy "Kath & Kim." The series was ABC TV's (Australian Broadcasting Corporation) most popular program in 2002, 2003 and 2004 and is considered to be the most successful Australian television comedy series ever. Sundance Channel will premiere the third season in December 2005 and reprise seasons one and two in early 2006. The first two seasons of "Kath & Kim" have aired on Trio.

In "Kath & Kim," a reality-TV style camera follows mother Kath and daughter Kim as they go about their lives in the fictitious Melbourne suburb of Fountain Lakes. Kath Day (Jane Turner) is a forty-something empty nester who enjoys keeping fit and spending time with her hot new husband Kel (Glenn Robbins). Her daughter Kim (Gina Riley) is a pouting princess whose glass of Chardonnay is always half empty rather than half full. She terrorizes her husband Brett (Peter Rowsthorn) and her second best friend Sharon (Magda Szubanski) with her delusions of grandeur. They are the suburban nightmare living the suburban dream.
