Expiration of Hart-Scott-Rodino Waiting Period Relating to the Proposed Acquisition of Metro-Goldwyn-Mayer Inc. (NYSE:MGM), announced today that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, relating to the proposed acquisition of MGM by LOC Acquisition Company has expired without a formal request from the U.S. Department of Justice for additional information, which is commonly referred to as a "second request." The acquisition remains subject to the approval of MGM stockholders at a special meeting scheduled to be held on December 17, 2004, clearance under the European Commission's merger control regulations, the financing necessary to complete the proposed acquisition being consummated and other customary closing conditions.
