HALIFAX, May 3, 2013 /CNW/ - At the annual meeting of shareholders of
Newfoundland Capital Corporation Limited held on May 1, 2013, voting
was conducted by a show of hands because less than 0.03% of the votes
represented at the meeting by proxy had instructions not to vote in
favour of the proposed resolutions if a ballot was held.  The proposed
resolutions appointing directors and auditors were passed on a show of
hands.



Approximately 98.5% of the votes represented at the meeting were
represented by proxy.  Those proxies were directed to vote as follows
if a ballot was held at the meeting:
