Sinclair Closes Private Offering of Senior Unsecured Notes and Completes Redemption of 9.25% Notes
BALTIMORE, Oct. 11, 2013 /PRNewswire/ -- Sinclair Broadcast Group, Inc. ("Sinclair" or the "Company") (Nasdaq: SBGI) announced today that its wholly-owned subsidiary, Sinclair Television Group, Inc. ("STG"), has closed its previously announced private offering of $350 million aggregate principal amount of 6.375% senior unsecured notes due 2021 (the "6.375% Notes"). The 6.375% Notes were priced at 100% of their par value and will bear interest at a rate of 6.375% per annum payable semi-annually on May 1 and November 1, commencing May 1, 2014.

The net proceeds from the private placement of the 6.375% Notes, together with cash on hand, will be used to redeem $500.0 million aggregate principal amount of STG's 9.25% Senior Secured Second Lien Notes due 2017 (CUSIP No. 829259AA8) (the "9.25% Notes"). The redemption price, including the outstanding principal amount of the 9.25% Notes, accrued and unpaid interest, and a make-whole premium, totaled $546.1 million.
