Viacom Announces $500 Million Debt Offering

NEW YORK, March 24, 2011 /PRNewswire-FirstCall/ -- Viacom Inc. (NYSE: VIA, VIA.B) today announced that it has agreed to sell $500 million in aggregate principal amount of 3.50% senior notes due 2017 (the "Senior Notes") at a price equal to 99.139% of the principal amount thereof. The sale of the Senior Notes is expected to close on March 31, 2011.

Viacom intends to use the net proceeds from the offering for general corporate purposes, including, but not limited to, the repayment of outstanding indebtedness, which includes borrowings under its commercial paper program and the scheduled maturity of its outstanding 5.75% senior notes due April 2011, along with the repurchase of shares under its share repurchase program.

The joint book running managers for the Senior Notes are Deutsche Bank Securities Inc., J.P. Morgan Securities LLC., and BNP Paribas Securities Corp.

Viacom's senior unsecured debt is currently rated BBB+ by Standard & Poor's and Fitch, and rated Baa1 by Moody's Investors Service.
