Outdoor Channel Holdings Announces Filing of Form 12b-25

TEMECULA, Calif., May 6 /PRNewswire-FirstCall/ -- Outdoor Channel Holdings, Inc. (NASDAQ:OUTD) today announced that it has postponed its 2009 first quarter earnings release and filed a Form 12b-25 (Notification of Late Filing) with the Securities and Exchange Commission with respect to its Quarterly Report on Form 10-Q for the quarter ended March 31, 2009. The Company intends to file its Form 10-Q within the 5-day extension period afforded by SEC Rule 12b-25.

The postponed 2009 first quarter earnings release and late filing are the result of delays Outdoor Channel Holdings has experienced in completing its financial statements for the quarter ended March 31, 2009. The delays are related to the Company's acquisition of the assets of Winnercomm Inc. and its related entities during the quarter and the additional time required to complete the financial statements resulting from, and the presentation of data relating to, the acquisition. As a result, Outdoor Channel was unable to complete its Quarterly Report on Form 10-Q for the period ended March 31, 2009, without the expenditure of unreasonable effort and expenses, as outlined in its Form 12b-25 filing.
