LOS ANGELES, Sept. 2 /PRNewswire-FirstCall/ -- Media International Concepts, Inc. (OTC Pink Sheets: MEIC) announced today that it has been restructured in order to enhance business opportunities and enhance shareholder value. It has spun off its operating subsidiaries and intellectual property rights into four separate private companies. It is intended that stock will be dividended and issued in each of these privately held entities on a "one-for-ten" basis to existing Media International shareholders. Company counsel will undertake the appropriate compliance with any applicable regulations and rules of governmental agencies.
The four separate private companies are: the Company's infomercial business as "Video 2000 dba Opportunity Productions"; the radio and television classic and neo-classic rock business as "RockWindow Television Network, Inc."; Intellectual property and licenses into "MICI Entertainment, Inc."; and audio, radio, internet radio, and podcasting pilot programs into "Media International Radio, Inc."
Media International also announced that it has acquired, for all common stock, MicroArt, Inc., after a one-for-five hundred split in Media International common stock. With over twenty successful years in business, MicroArt, Inc. specializes in designing very dense and difficult printed circuit boards in a service bureau environment. With offices in Toronto and Montreal, Canada, MicroArt management has projected $20,000,000 in revenue with nearly $1,000,000 in earnings for 2005.
Media International has changed its name to MicroArt, Inc., applied for a change in stock symbol, and officers and directors appointed as follows: Peter Fisher, Chief Executive Officer and Director, upon the resignation of Media international's officers and directors.
